Biron Genetics currently offers three types of tests: Pharmacogenomic Test (“Pharma Profile”), Nutrigenomic Test (“Nutrition Profile”), and a Microbiome Analysis (“Microbiome Test”).

Each test includes a sampling kit, collection and submission instructions (saliva or stool), laboratory analysis, a personalized report, and access to an online results portal, including support from a healthcare professional for the interpretation of the results. The personalized genetic analysis report prepared following the tests carried out under the Pharma Profile may include general recommendations regarding the selection and/or dosage of certain medications. These recommendations may aim to improve their effectiveness and reduce the risk of undesirable side effects. With your consent, your personalized Pharma Profile genetic analysis report may be shared with the healthcare professional of your choice in order to personalize your therapeutic approach.

The personalized genetic analysis report prepared following the tests carried out under the Nutrition Profile may include general recommendations intended to support the improvement of dietary habits. These recommendations may aim to enhance nutrition by evaluating certain genetic interactions that may affect the individual's response to different nutrients.

The personalized analysis report prepared following the tests carried out under the Microbiome Profile may include an assessment of the diversity, balance, and resilience of the microbiome. It may also contain general recommendations that may aim to improve the microbiome.

The reports, including the recommendations, do not constitute medical advice. Only a qualified healthcare professional is authorized to confirm their relevance in the context of your personal situation. It is strongly recommended that you consult the healthcare professional of your choice,including, but not limited to, a dietitian or a physician, before making any changes to your diet or lifestyle.

The reports and recommendations are provided for informational purposes only and should not be interpreted as a diagnosis or a prescription. As scientific knowledge evolves constantly and rapidly, the information contained in these reports and recommendations may be subject to change without notice. You understand and agree that the Products offered by Biron Genetics on the Site may be adapted, modified, or updated at any time and without notice, at the discretion of Biron Génétique.

Finally, you acknowledge and consent that personalized genetic analysis reports are available only through the results portal and that Biron Genetics has no obligation to keep the portal and/or your access to the portal active indefinitely. Biron Genetics recommends downloading your results. In the event that Biron Genetics discontinues your access to the portal or permanently deactivates it, Biron Genetics undertakes to take reasonable measures to notify you by email in order to allow you to obtain your personalized genetic analysis report in another format.

Biron Genetics strives for accuracy but does not guarantee that product descriptions or content are accurate, complete, or error-free. It reserves the right to correct errors and cancel orders

without notice, even after order confirmation. If your credit card was charged and your order was cancelled, a full refund will be issued.

Prices are in Canadian dollars and may change without notice. Taxes are not included.

Biron Genetics collects and remits sales tax as required by law.

Products are sold for personal, non-commercial use only. Resale is prohibited.

By purchasing a Product on the Website, you make the following declarations and representations:

You are eighteen (18) years and older and providing a stool sample OR that you are fourteen (14) years of age or older and are providing a sample of your own saliva; OR you are the holder of parental authority or the legal guardian of a person aged between seven (7) and eighteen (18) years from whom you are providing the saliva sample; OR you are eighteen (18) years of age or older and are the legal representative of a person declared incapacitated from whom you are providing the saliva sample; and

All information that you submit to Biron Genetics (including any information related to family history or other personal information) is truthful to the best of your knowledge. Biron Genetics does not independently verify the information you submit, nor does it verify or validate such information with healthcare professionals. Biron Genetics relies on the information you provide to prepare the analysis reports, including the recommendations.

You may pay for your order on the Site using a credit card recognized and accepted in Canada. Biron Genetics accepts Visa®, MasterCard®, and American Express® cards. Payment terms may be changed at any time without prior notice.

Credit cards are charged upon online order confirmation on the Site, including all applicable taxes and/or shipping and handling fees.

Biron Genetics verifies payment, billing, and shipping details, as well as inventory. For certain products, prescription verification may be required by law. Biron Genetics reserves the right to limit quantities, particularly during promotions.

An email containing a summary of the order placed on the Site is sent to the email address provided at the time of ordering.

Receipt of an electronic order summary, or of a summary in any other form, does not constitute acceptance of your order by Biron Génétique. At any time after you have placed your order, Biron Genetics reserves the right to accept or to refuse your order for any reason whatsoever. Should Biron Genetics refuse your order, Biron Genetics will refund the amount charged by the original method of payment.

Biron Genetics can in no way guarantee the availability of the Products offered on the Site. Thus, all orders placed on the Site are subject to Product availability and will be shipped pursuant to the Shipping Policy set out in section 13 below.

In the event that a Product is out of stock, Biron Genetics will contact you and inform you of the stockout. On your choice, Biron Geneticswill send you the Product as soon as it becomes available again, or Biron Genetics will cancel the order and refund the amount charged by the original method of payment.

Please note that no order will be shipped until all of the Products included in the order are ready and available for shipment.

The shipping and handling fees applicable to your order will be clearly indicated, where applicable, before you proceed to finalize your purchase of Products on the Site.

Additional shipping fees may apply for any order shipped outside Canada or to regions not served by Canada Post (XpressPost).

Biron Genetics undertakes to refund you, in whole or in part, for the Products you ordered on the Site for which you have made a cancellation request, subject to the conditions and time limits specified in this section 14, with the exception of a Product bearing the mention “NON-REFUNDABLE,” for which no refund is offered.

a. Cancellation of the order before shipment confirmation

Biron Genetics grants you the privilege of canceling your order, for any reason whatsoever, at any time BEFORE Biron Genetics has sent you an email confirming shipment of the Product. Biron Genetics will then refund you with the original method of payment.

b. Cancellation of the order before confirmation of receipt of the saliva sample or stoll sample

Biron Genetics grants you the privilege of canceling your order, for any reason whatsoever, at any time BEFORE Biron Genetics has sent you an email confirming receipt of your saliva or stool sample at its analysis laboratory, but no later than twelve (12) months after the date of shipment confirmation of your order. Any order for which a cancellation request is made after the saliva sample or stool sample has been received by Biron Genetics’ analysis laboratory will not be refundable. Any order for which a cancellation request is made more than twelve (12) months after the transaction, even if the saliva or stool sample has not been received by Biron Genetics’ analysis laboratory, will not be refundable. If the cancellation request is made before the saliva sample is received by Biron Genetics’ analysis laboratory and within the aforementioned time limit, Biron Genetics undertakes to refund you the amounts received to date for the purchase of said Product, by the original method of payment, less transaction, shipping, and handling fees, which are currently set at $65 for shipments within Canada and $150 for shipments outside Canada.

In all cases where a Product is purchased other than on the Site (for example, a purchase made directly from one of Biron Genetics’ partners), the cancellation and/or refund request must be addressed directly to the Biron Genetics’ partner from whom you purchased the Product. This Product Cancellation and Refund Policy will not apply,and no refund will be issued by Biron Génétique. Biron Genetics makes no representation and offers no guarantee that a cancellation and/or refund request addressed to the Biron Genetics’ partner will be accepted. The cancellation and/or refund request will be subject solely to the Product refund policy established by the Biron Genetics’ partner.

Any request to cancel and/or refund a Product that does not fall within one or another of the situations set out above will be refused.

Promotional codes offered by Biron Genetics are valid until the displayed or communicated date or while supplies last, according to the applicable terms and conditions. Any unused portion will be forfeited. Each promotional code is limited to one use per customer and

to one code per order. No promotional code may be combined with any other offer. No promotional code has any cash value. Any offer is void where prohibited, taxed, or restricted by law. No offer is transferable. No offer will be applied retroactively to Products already purchased. No offer is valid for resale activity. WARNING: No Product offered by Biron Genetics, nor any procedure used by Biron Genetics in the provision of services related to the Products, is considered invasive or experimental.

When you purchase a Product on the Site, you understand and acknowledge that:

• · the genetic analysis results provided following the purchase of a Product on the Site are based on the research methods available to date;
• · genetic analysis results may vary depending on different circumstances or may not be achieved;
• · even if the analytical procedures used in the laboratory comply with all the rules of “good laboratory practices,” the limits of technology and science mean that certain analysis failures may occur and render certain information impossible to interpret. A notation of “failure” will then be entered for the analysis concerned;
• · the Products offered on the Site are not sold for the purpose of enabling the diagnosis of any disease or medical condition whatsoever, or an assessment of your state of health; and
• · you assume full responsibility for the use, sharing, and transmission of the genetic analysis results or any other information that you obtain following the purchase of a Product on the Site or on the results portal.

Before using a Product purchased on this Site, you must consult the instruction manual provided with that Product. The instruction manual contains important information about the Product as well as instructions regarding the handling, use, and return/shipment of the Product. You are, at all times, responsible for ensuring that the handling, use, and return/shipment of the Product are carried out properly, in accordance with the instructions contained in the instruction manual. If you do not follow all instructions, it is possible that the sample you return to Biron Genetics’ analysis laboratory will yield no result.

Biron Genetics makes no express or implied representations, including in relation to the Site, the Products, the Tests, and the information, results, or recommendations, and offers no warranty that the genetic analysis results contained in the personalized genetic report or the microbiome results report obtained following the purchase of a Product on the Site will extend your life expectancy or provide you with better health.

The microbiome test is not intended to diagnose, screen for, treat, or cure any medical condition. It is provided for informational purposes only, and its results must be interpreted with care. No medical treatment or significant lifestyle change should be undertaken without the prior advice of a qualified healthcare professional.

It does not replace a culture test or a PCR test for diagnosing a gastrointestinal infection. Nor does it constitute an alternative to specific clinical tests, such as tests used in the investigation of inflammatory bowel diseases or for small intestinal bacterial overgrowth (SIBO). The results are based on a sequencing analysis of the relative abundance of detected bacteria, whether potentially pathogenic, commensal, or beneficial.

Although certain sections of the report refer to specific health conditions, the results indicate only potential associations between the microbiota profile and a relatively increased risk of presenting symptoms or functional imbalances. These associations arise from recent and increasingly robust scientific data, but are still considered emerging. The interpretation of the results must always take into account your personal health condition, and the recommendations issued do not replace clinical judgment. The test provider and its affiliates cannot be held responsible for decisions made on the basis of the report or its interpretation.

You acknowledge and agree that Biron Genetics, its related companies, the members of their management and their directors, officers, employees, agents, as well as their respective successors and assigns, shall in no case be liable for losses, costs, expenses, or other damages of any kind whatsoever arising from the fact that a Product may be inappropriate, irrelevant, and/or useless for you or for any person for whom you are legally responsible, or that such Product did not elicit or produce the expected results, even if Biron Genetics knew or should have foreseen the possibility of such damages.

These Terms are governed by and construed in accordance with the laws in force in the Province of Quebec, without regard to conflict-of-laws rules. You agree to submit to the exclusive jurisdiction of the competent courts in Québec, in the judicial district of Montreal, with respect to all matters relating to the Terms, as well as any dispute that may arise in connection therewith. You also agree that the applicable laws are those of Québec as well as the federal laws of Canada applicable in Quebec.

Any consent to or waiver by Biron Genetics, whether express or implied, regarding a failure on your part to comply with the provisions hereof shall not constitute consent to or a waiver of any other subsequent or different failure.

In the event that any provision of these Terms is deemed illegal, null, or unenforceable by a competent court, that provision shall be deemed not to form part of the Terms, and the remaining provisions shall remain in full force and effect.
